Terms of Service
These terms are an agreement between you and SUPERNIGHT, LLC, an Oklahoma limited liability company ("we", "us"), for your use of the Copper app and related services ("Copper"). By creating an account or using Copper, you agree to these terms and to our Privacy Policy. If you don't agree, don't use Copper.
1. Who can use Copper
You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. You're responsible for keeping your login and device secure and for everything that happens under your account. Tell us promptly if you suspect unauthorized access.
2. What Copper is, and isn't
Copper is a budgeting tool. It helps you organize money you already have into buckets and estimates what's left to spend. Copper is not a bank, and it doesn't hold, move or transfer your money: bucket balances are records in the app, not separate accounts. Copper doesn't provide financial, investment, tax or legal advice.
Balances, transactions and Left-to-Spend figures come from your financial institutions through Plaid and from your own entries, and may be delayed, incomplete or wrong. Always check your bank before making financial decisions. We aren't responsible for fees, overdrafts or other losses that result from relying on information in Copper.
3. Connecting your accounts
When you link a financial account, you authorize us and Plaid to access and retrieve your account information on your behalf, and you agree to Plaid's handling of your data under the Plaid End User Privacy Policy. You confirm you're authorized to access the accounts you connect. You can disconnect an account at any time in Settings.
4. Plans and payments
Copper is currently free. If we introduce paid plans, we'll show the price and terms before you buy. Purchases made through the App Store are billed by Apple under Apple's terms, renew automatically unless you cancel at least 24 hours before the renewal date, and can be managed in your Apple ID settings. Features and limits (such as the number of linked banks) may differ by plan.
5. Acceptable use
Don't misuse Copper. That includes accessing accounts or data that aren't yours, interfering with or reverse engineering the service except where the law allows, using automated means to access it, or using it for anything illegal. We may suspend or end access for violations.
6. Your content
You keep ownership of the information you add to Copper. You give us permission to store and process it only to provide and improve the service for you, as described in the Privacy Policy. If you share a budget with others, they can see and, depending on their role, change it.
7. Our service
Copper, including its design, software and brand, belongs to SUPERNIGHT, LLC. We grant you a personal, non-transferable, revocable license to use the app for your own budgeting. We may change, add or remove features, and we may stop offering Copper with reasonable notice where practical.
8. Ending your account
You can delete your account at any time in Settings. We may suspend or close accounts that violate these terms or put the service or other users at risk. Sections that by their nature should survive (such as disclaimers, limits of liability and governing law) survive termination.
9. Disclaimers
Copper is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy. We don't warrant that Copper will be uninterrupted, error-free or that data from financial institutions will be accurate or timely.
10. Limitation of liability
To the fullest extent the law allows, SUPERNIGHT, LLC won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or funds, arising from your use of Copper. Our total liability for any claim relating to Copper is limited to the greater of the amount you paid us in the 12 months before the claim or $50. Some places don't allow these limits, so they may not apply to you.
11. Indemnity
You agree to indemnify SUPERNIGHT, LLC against claims arising from your misuse of Copper or violation of these terms.
12. Governing law
These terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Oklahoma, and you and we consent to their jurisdiction, except where the law of your place of residence requires otherwise.
13. Apple
If you downloaded Copper from the App Store, these terms are between you and SUPERNIGHT, LLC, not Apple. Apple has no obligation to provide maintenance or support, isn't responsible for claims relating to the app, and is a third-party beneficiary of these terms with the right to enforce them against you. Apple's standard Licensed Application End User License Agreement also applies where these terms don't address a topic.
14. Changes
We may update these terms. We'll post the new version here with a new effective date and, for significant changes, tell you in the app or by email. Continuing to use Copper after changes take effect means you accept them.
